The Skyfallen Company ONE Identity Services Terms of Use
These Terms of Use govern your access to and use of Skyfallen ONE Identity Services (the "Service"). By creating an account, signing in, or otherwise using the Service, you agree to these terms.
These terms apply to all account holders, including individual users and organisation administrators. They do not replace separate commercial or enterprise customer agreements where those apply to your organisation.
1. Definitions
Unless the context requires otherwise:
- “Skyfallen”, “we”, “us”, or “our”
- means Skyfallen Limited (Companies House registration number 13431214), trading as The Skyfallen Company, with its registered office at 14/2e Docklands Business Centre, 10-16 Tiller Road, London E14 8PX, United Kingdom.
- “ONE Identity Services”, “ONE”, or “the Service”
- means the Skyfallen identity platform made available through subdomains of the Skyfallen ONE application domain, including customer identity, workforce identity, organisation administration (IAM), and related sign-in, account, and integration features.
- “you” or “User”
- means any individual who creates or uses an account on the Service, including organisation administrators acting on behalf of a tenant.
- “Account”
- means a ONE identity record associated with a person, including credentials, profile information, security settings, and tenant memberships.
- “Tenant”
- means an organisation workspace within ONE, such as a personal, commercial, or enterprise tenant.
- “Administrator”
- means a User with permission to manage a Tenant, its members, settings, connections, or published applications.
- “Connected Application”
- means a third-party or Skyfallen application that authenticates users through ONE using CAS, SAML, or another supported integration.
- “Partner”
- means a third party authorised by Skyfallen to access ONE APIs or provisioning features under separate written terms.
2. Agreement to these terms
You agree to these Terms of Use when you create an Account, sign in, accept a checkbox referencing these terms, or otherwise access or use the Service.
If you use the Service on behalf of an organisation, you represent that you have authority to bind that organisation to these terms. Administrators remain responsible for how their Tenant is configured and how members use the Service.
If you do not agree to these terms, you must not use the Service.
3. Eligibility and geographic availability
3.1 Minimum age
You must be at least 18 years old to create or use an Account. We may request evidence of age or identity where reasonably necessary for security, verification, or legal compliance.
3.2 Lawful use
You must use the Service only where you are legally permitted to do so and in compliance with applicable law in your jurisdiction.
3.3 Geographic availability of paid services
- Paid business-to-consumer services are available only in the European Union, the United Kingdom, and the United States.
- Paid business-to-business services are available worldwide except in jurisdictions subject to United States or United Kingdom sanctions.
Skyfallen may refuse or discontinue paid services in a region where offering them would violate applicable law or sanctions requirements.
4. The Service
ONE Identity Services includes, among other things:
- customer identity features such as sign-in, account recovery, passkeys, profile management, and account deletion;
- workforce identity features such as organisation portals, branded sign-in, and access to published applications;
- organisation administration features such as member management, invitations, roles, permissions, and optional Google Workspace directory connections;
- integration features that allow Connected Applications to authenticate users and, where authorised, receive identity or tenant data.
The Service is provided for identity, access management, and related administrative purposes. It is not a general-purpose hosting, messaging, or financial services platform unless expressly stated in a separate agreement.
Skyfallen may add, modify, or remove features. Features labelled as beta or preview are described in Section 10.
5. Accounts and security
5.1 Accurate information
You must provide accurate, current, and complete information when creating or maintaining an Account and when submitting verification materials requested by Skyfallen or your organisation.
5.2 Account security
You are responsible for safeguarding your credentials, devices, recovery methods, and authentication factors. Notify Skyfallen promptly through [email protected] if you believe your Account has been compromised.
5.3 Organisation responsibility
Administrators are responsible for member access, role assignment, published applications, custom links, imports, and any Google Workspace or other directory connections enabled for their Tenant.
5.4 Digital acceptance
Actions taken through the Service, including checkbox acceptance, invitations, approvals, and administrative changes, may constitute legally effective consent or instructions within your organisation’s authority structure.
6. Fees and service tiers
6.1 Free tiers
- Commercial Tenants include up to five members at no charge under these terms.
- Enterprise Tenants include up to twenty-five members at no charge under these terms.
Additional members, paid features, or usage beyond included limits may require payment under pricing made available by Skyfallen at the time of purchase.
6.2 Paid services
Workforce Identity is a paid service. Other paid features may be offered from time to time. Fees, billing cycles, and purchase terms will be presented before you incur a charge.
6.3 Taxes and payment
Stated fees may exclude applicable taxes, duties, or bank charges unless expressly stated otherwise. You are responsible for timely payment of amounts due for paid services you or your organisation purchase.
7. Acceptable use
You must not use the Service to:
- violate applicable law, regulation, court order, or third-party rights;
- impersonate another person or misrepresent your affiliation with an organisation;
- access or attempt to access Accounts, Tenants, or data without authorisation;
- interfere with, disrupt, probe, or overload the Service or related systems;
- reverse engineer, scrape, or automate access to the Service except through interfaces expressly permitted by Skyfallen;
- upload malware, phishing content, or material intended to compromise security;
- use the Service for spam, harassment, or unlawful surveillance;
- resell, sublicense, or provide the Service to third parties except as expressly allowed for your organisation’s members or Connected Applications.
Skyfallen may investigate suspected violations and take action under Section 16.
8. API access
Programmatic access to ONE APIs, webhooks, provisioning endpoints, and related integration interfaces is restricted. Access is granted only to Skyfallen Partners under separate written terms agreed with Skyfallen.
You must not use undocumented endpoints, bypass access controls, or share API credentials outside the scope of your Partner agreement or organisation authorisation.
9. Third-party applications and integrations
9.1 Connected Applications
When you use CAS, SAML, or other integrations to access a Connected Application, that application is operated by its developer or provider. Your use of the Connected Application is subject to that provider’s own terms, privacy policy, and support arrangements.
Skyfallen is not responsible for the content, availability, security, or conduct of Connected Applications except where expressly stated in a separate agreement.
9.2 Google Workspace
If an Administrator connects Google Workspace, Google’s terms and policies apply to the Google services used. Skyfallen uses Google data only for the connected organisation’s directory and provisioning purposes described in the Service documentation.
9.3 ONE Pass
ONE Pass is a desktop sign-in application that may be made available to selected users. At present, ONE Pass is available only to Skyfallen employees. Availability may change in the future. When made available to you, ONE Pass is part of the Service and these terms apply.
10. Beta and preview features
From time to time, Skyfallen may offer features identified as beta, preview, early access, or similar. Such features are provided for evaluation and may be incomplete, change without notice, or be withdrawn.
Beta and preview features are provided without any commitment to continued availability or support. You use them at your own risk.
11. Privacy
Skyfallen’s collection and use of personal data in connection with the Service is described in the Skyfallen Privacy Policy. By using the Service, you acknowledge that policy.

12. Intellectual property
The Service, its software, branding, documentation, and related materials are owned by Skyfallen or its licensors and are protected by intellectual property laws.
These terms grant you a limited, non-exclusive, non-transferable right to access and use the Service for your personal or organisational identity purposes while your Account remains active and in good standing.
You must not copy, modify, distribute, sell, or create derivative works from the Service except as permitted by law or with Skyfallen’s prior written consent.
13. Service availability
Skyfallen aims to operate the Service reliably, but does not guarantee uninterrupted or error-free operation. No service level agreement applies to ONE Identity Services unless expressly agreed in a separate written contract.
Maintenance, security incidents, third-party outages, and events outside Skyfallen’s reasonable control may affect availability.
14. Changes and discontinuation
Skyfallen may modify the Service from time to time, including features, interfaces, authentication methods, and supported integrations.
If Skyfallen discontinues the Service or a material part of it, Skyfallen will provide at least one month’s notice before discontinuation takes effect, except where immediate action is required by law, security risk, or a third-party provider termination.
15. Changes to these terms
Skyfallen may update these Terms of Use from time to time. When we make material changes, we will post the updated terms on this page and update the effective date and revision number.
Where required by law or where changes materially affect your rights, Skyfallen may provide additional notice through the Service or by email. Continued use of the Service after the effective date of updated terms constitutes acceptance, except where applicable law requires a different form of consent.
16. Suspension and termination
Skyfallen may suspend or terminate your access to the Service, with or without notice, if:
- you breach these terms or applicable law;
- your Account or Tenant poses a security, fraud, or abuse risk;
- verification or payment obligations are not met;
- continued provision would expose Skyfallen to legal or sanctions risk;
- required by law, court order, or a competent authority.
You may stop using the Service at any time. Account deletion is described in Section 17. Provisions that by their nature should survive termination will continue to apply, including Sections 11 through 21.
17. Account deletion
Where the Service provides account deletion, you may request deletion of your Account through the available self-service flow or by contacting support.
Deletion may be delayed or limited where Skyfallen must retain information for security, fraud prevention, legal compliance, dispute resolution, or backup integrity. Administrators may also remove members from a Tenant under organisation policies.
18. Disclaimers
To the fullest extent permitted by law, the Service is provided on an “as is” and “as available” basis. Skyfallen disclaims all warranties, whether express, implied, or statutory, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement.
Skyfallen does not warrant that the Service will meet your requirements, that Connected Applications will operate without interruption, or that all security incidents can be prevented.
19. Limitation of liability
Nothing in these terms excludes or limits liability that cannot be excluded or limited under applicable law, including liability for death or personal injury caused by negligence, fraud, or fraudulent misrepresentation.
Subject to the paragraph above, Skyfallen will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for loss of profits, revenue, goodwill, data, or business opportunity, arising out of or related to the Service or these terms.
Subject to the paragraphs above, Skyfallen’s total aggregate liability arising out of or related to the Service or these terms will not exceed the greater of:
- the fees you paid to Skyfallen for the Service in the twelve months before the event giving rise to the claim; or
- one hundred pounds sterling (£100).
20. Indemnity
You will indemnify and hold harmless Skyfallen, its officers, employees, and contractors from claims, losses, liabilities, damages, costs, and expenses (including reasonable legal fees) arising from:
- your use of the Service in breach of these terms or applicable law;
- content, configuration, or instructions you or your organisation provide through a Tenant;
- your use of Connected Applications or third-party integrations; or
- any dispute between you and another User or Connected Application provider,
except to the extent caused by Skyfallen’s intentional misconduct or negligence.
21. Governing law and jurisdiction
These Terms of Use are governed by the laws of England and Wales, without regard to conflict-of-law principles.
The courts of England and Wales have exclusive jurisdiction to settle any dispute arising out of or in connection with these terms, subject to any mandatory rights you may have under applicable consumer protection law in your country of residence.
22. General
- Entire agreement for identity services. These terms are the principal agreement between you and Skyfallen for ONE Identity Services. Separate commercial, enterprise, partner, or project agreements may also apply to your organisation.
- Severability. If any provision is held invalid, the remaining provisions remain in effect.
- No waiver. Failure to enforce a provision is not a waiver of future enforcement.
- Assignment. You may not assign these terms without Skyfallen’s consent. Skyfallen may assign these terms in connection with a reorganisation, merger, or sale of assets.
- Force majeure. Skyfallen is not liable for delay or failure caused by events beyond its reasonable control.
